Dealer Services Agreement

Last updated: August 4, 2026

This Dealer Services Agreement ("Agreement") supplements LotCast's general Terms of Service and applies specifically to dealerships that enroll their inventory on LotCast ("Dealer", "you"). By completing enrollment, you agree to this Agreement in addition to the general Terms. Where the two conflict on a dealer-specific point, this Agreement controls.

1. What you're agreeing to

By enrolling, you authorize LotCast to make your inventory data discoverable and searchable by AI agents, and to receive and forward buyer leads to you on your behalf. You represent that whoever completes enrollment is authorized to bind your dealership to this Agreement.

2. Your inventory data

You retain ownership of your inventory data — vehicle listings, pricing, photos, and descriptions. By connecting a feed (Lightspeed, CSV export, or otherwise) or entering data directly, you:

3. Buyer lead data — your responsibilities

When LotCast delivers a buyer lead to you (name, email, phone, vehicle interest, and any trade-in details), you're receiving that person's personal information as the party who will act on it. You agree to:

4. Feed credentials

If you provide feed credentials (e.g. Lightspeed username/password/CMF, or an FTP/CSV feed URL), you're responsible for keeping them accurate and notifying us if they change or are compromised. We store these credentials to run scheduled inventory syncs on your behalf and don't use them for any other purpose.

5. Service tiers and fees

LotCast is offered in tiers (Free, Base, Analytics) with different feature access, described on our pricing page or provided to you directly at enrollment. [Billing terms to be finalized once paid-tier invoicing is live — this section will be updated with payment terms, invoicing cadence, and late-payment consequences at that time.] We'll give you reasonable notice of any pricing or tier changes that affect your account.

6. Account status

Your account may be pending (awaiting setup), active, or inactive. We may set your account to inactive for inaccurate inventory data, non-payment (once billing applies), abuse of the platform, or violation of this Agreement or the general Terms. We don't delete dealer accounts outright — an inactive account's data is retained but no longer discoverable by AI agents until reactivated.

7. Ending this Agreement

You may request account closure at any time by contacting us. On closure, your inventory becomes non-discoverable; we retain historical lead and account records for a reasonable period for our own business and legal record-keeping, consistent with our Privacy Policy.

8. Liability

The liability terms in our general Terms of Service (Sections 7–9: disclaimers, limitation of liability, indemnification) apply fully to this Agreement.
